They are also able, pursuant to the Law, to serve as directors of other ‘covered’ entities. Where we provide corporate directors, those corporate directors are licensed pursuant to the law to so act. Paul Harris - Chairman and Director at IMS Cayman PAUL HARRIS F.C.A., T.E.P, Acc.Dir. (Chairman and Director), is a Fellow of the Institute of Chartered Accountants in England and Wales and a notary public for the Cayman Islands. He is registered with the Cayman Islands Monetary Authority pursuant to the Directors Registration and Licensing Law 2014 to serve as a director on regulated funds and other entities ‘covered’ by the law. Mr. Harris qualified with Ernst & Whinney in London before coming to the Cayman Islands in 1967 where he became the first British chartered accountant to take up residence and practice in the Islands. He is a founder member of the Cayman Islands Society of Professional Accountants, served as secretary to the Chamber of Commerce for eight years and for several years until 2015 was President of the Cayman Islands Company Managers Association (CICMA) and President of the Cayman Islands Directors Association (CIDA). He was also the CICMA representative on the Government Anti-Money Laundering Guide Notes Committee. He opened the first accounting office in the Cayman Islands for what is now Ernst & Young and later acted as Cayman correspondent for the international firm Ernst & Ernst. He founded International Management Services Ltd (IMS) in 1974.
Gary Butler - Managing Director & Legal Counsel at IMS Cayman GARY BUTLER, LL.B.(Hons), Dip.L.P. (Managing Director & Legal Counsel), a resident of the Cayman Islands, is a Solicitor of the High Court of England and Wales (non-practising, but holding a current practising certificate). Mr. Butler is a Professional Director in the Cayman Islands registered pursuant to the Directors Registration and Licensing Law 2014. Mr. Butler previously also practised law in Scotland, Jersey and the Cayman Islands. Mr. Butler is employed as Managing Director & Legal Counsel and serves as a director on a limited number of boards of alternative investment funds and special purpose vehicles. Prior to joining IMS he was Legal Manager for the Close Brothers offshore group of companies across their Jersey, Guernsey and Isle of Man offices, advising on corporate, trust & fiduciary, investment fund and other ad-hoc legal matters. Prior to that, he was a Senior Associate with a top tier offshore law firm, working in their Business and Trust Law Group out of their Jersey office and has also worked in the formation of investment funds for a Cayman Islands law firm. His expertise is in the fields of corporate and fiduciary law, with an emphasis on offshore structures. He is currently a member of the executive committee of the Cayman Islands Directors Association (CIDA).
Ian Goodall - Director at IMS Cayman IAN GOODALL. M.A. (HONS), C.A. (Director), a resident of the Cayman Islands, is a Chartered Accountant (a member of the Institute of Chartered Accountants of Scotland) and is a Professional Director in the Cayman Islands registered pursuant to the Directors Registration and Licensing Law 2014. Mr. Goodall obtained an M.A. (Hons) Upper Second in Economics and Geography at Glasgow University, qualified with Thomson McLintock, Glasgow, a then big-8 firm (now KPMG, Glasgow) and obtained further accounting experience in the shipping industry. Mr. Goodall is a Director and Company Secretary for IMS and serves as a director on the boards of alternative investment funds and special purpose vehicles. Prior to joining IMS in 1989, he was an audit manager with Price Waterhouse & Co. for six years. He has been employed by IMS for over 20 years and he specialises in domiciliary services for offshore companies and mutual funds and in providing independent director services for hedge funds, many of which are recognized to be the leading hedge fund groups in the world.
Chris Bowring - Director at IMS Cayman CHRISTOPHER BOWRING F.C.C.A, A.C.I.S, A.I.B., T.E.P., (Director), a resident of the Cayman Islands, is a fellow of the UK Association of Chartered Certified Accountants, an associate of the Institute of Chartered Secretaries and Administrators, and a member of the Institute of Financial Services (formerly the Chartered Institute of Bankers). Mr. Bowring is a Professional Director in the Cayman Islands registered pursuant to the Directors Registration and Licensing Law 2014 and is also a member of the Cayman Islands Society of Professional Accountants, a member of the Society of Trust and Estate Practitioners and a founding member of the Cayman Islands Directors Association. He has over thirty years’ experience in the management of various entities including mutual funds, trusts and corporations in a number of jurisdictions, in particular the Cayman Islands. Mr. Bowring is a Director of IMS and serves as a director on the boards of alternative investment funds and special purpose vehicles. Prior to joining IMS he was the Managing Director of Fiduciary Trust (Cayman) Limited and director of Cayman Islands Securities Limited (a related brokerage company).
Damien Austin - Director, Captive Insurance and Private Clients at IMS Cayman Damien Austin, BSc, ACCA (Director, Captive Insurance and Private Clients), is a resident of the Cayman Islands and is a member of the Association of Chartered Certified Accountants. Mr. Austin gained his qualifications at the University of Wales Aberystwyth, majoring in Corporate Finance, Taxation, Auditing and Financial Reporting. Prior to joining IMS he spent 9 years with one of the largest providers of captive insurance services in the Cayman Islands where he worked as a Senior Account Manager. He managed a varied portfolio of Captive Insurance Companies, including single parent health care, SPCS’s, SPV’s, reinsurance entities and group captives. He was involved in all facets of the management of the captives, including the production of accounts, statistical analysis, liaising with all service providers and consultants and reporting directly to the board of directors. He has a sound and extensive knowledge of the regulatory regime covering captives both onshore and offshore. Mr. Austin is also experienced in the establishment and administration of offshore holding structures, such as trusts and other corporate entities.
Geoff Ruddick - Fund Fiduciary & Head of Funds at IMS Cayman GEOFF RUDDICK, CFA, CPA, CA, FICA, Acc.Dir. (Fund Fiduciary & Head of Funds), a resident of the Cayman Islands, is a Canadian Chartered Accountant, a member of the Institute of Chartered Financial Analysts, a member and fellow of the International Compliance Association, a founding member of the Cayman Islands Directors Association and holds the Accredited Director designation granted by the Institute of Chartered Secretaries of Canada. He is a Professional Director registered pursuant to the Directors Registration and Licensing Law 2014. Mr. Ruddick is employed by IMS and serves as a director on the boards of alternative investment funds and special purpose vehicles. Prior to joining IMS he was the Managing Director of Hedgeworks Fund Services Ltd. (now Deutsche Bank (Cayman) Limited) and before that, he was a Director and Compliance Officer with Derivatives Portfolio Management Ltd. (now DPM Mellon Limited). Prior to entering the commercial side of fund management, Mr. Ruddick worked with KPMG in Vancouver auditing mutual funds, banks, and insurance companies and later with KPMG in the Cayman Islands, where he worked in the Corporate Recovery department involving the liquidation of hedge funds and other regulated entities.
Philip Cater - Fund Fiduciary at IMS Cayman PHILIP CATER, B.Com., C.A., (Fund Fiduciary), a resident of the Cayman Islands, has a Bachelor of Commerce degree in Accounting from the University of Auckland in 1984, is a member of the Institute of Chartered Accountants of New Zealand and a member of the Cayman Islands Directors Association. Mr. Cater is a Professional Director in the Cayman Islands registered pursuant to the Directors Registration and Licensing Law 2014 and has over 25 years experience in the financial services and fund sector and serves as director on the boards of alternative investment funds and special purpose vehicles. Prior to joining IMS he was the Funds Controller and Legal & Compliance Officer for UBS Fund Services (Cayman) Ltd (1999-2003) responsible for over 400 funds valued at over $30bn, Managing Director of Dresdner Fund Administration (Cayman) Ltd (1996-1999), Project Accountant and then Joint Head of Middle Office at Kleinwort Benson Investment Management Ltd in London (1991-1996). Mr. Cater received his professional training with Ernst & Young in Auckland and the Cayman Islands.
Mark Cook - Fund Fiduciary at IMS Cayman MARK COOK, B.Com, B.Econ, CA, Acc.Dir., (Fund Fiduciary), a resident of the Cayman Islands, is an Australian Chartered Accountant, a member of the Cayman Islands Society of Professional Accountants, a founding member of the Cayman Islands Directors Association and holds the Accredited Director designation granted by the Institute of Chartered Secretaries of Canada. Mr. Cook is a Professional Director in the Cayman Islands registered pursuant to the Directors Registration and Licensing Law 2014 and serves as a director on the boards of alternative investment funds and special purpose vehicles. Prior to joining IMS in 2012, he was a Senior Vice President at Maples Fiduciary Services, where his primary role was to serve as a director of Cayman Islands investment funds covering a wide range of strategies and structures. He was first employed in the Cayman Islands in 2005 with Citco Fund Services (Cayman Islands) Limited after moving from a career in chartered accounting in Australia.
Sean Inggs - Fund Fiduciary at IMS Cayman SEAN INGGS, LL.B, B.A., Attorney (South Africa), (Fund Fiduciary), a resident of the Cayman Islands and qualified South African Attorney, is a Professional Director in the Cayman Islands registered pursuant to the Directors Registration and Licensing Law 2014 and serves as a director on the boards of alternative investment funds and special purpose vehicles. Sean also assists IMS’ Legal Counsel with corporate and fund related legal matters. Prior to joining IMS Sean was a Senior Manager (fund administration) at Aztec Financial Services (Jersey) Limited where he administered a complex and varied portfolio of fund structures. Prior to that, he was a founder and principal of a boutique offshore corporate legal service provider in Jersey and spent five years with a top tier offshore law firm in Jersey, working in their Business and Trust Law Group as a Senior Associate, advising on a range of fund, corporate, IPO, JV and banking matters with significant exposure to corporate governance issues. Mr. Inggs commenced legal practice in 2005 in the Johannesburg office of Fasken Martineau (Bell Dewar).
Mike McDonald - Fund Fiduciary at IMS Cayman Mike McDonald, CPA, CA, TEP, Acc.Dir, (Fund Fiduciary) a resident of the Cayman Islands, is a Canadian Chartered Professional Accountant and Chartered Accountant and holds the Accredited Director designation granted by the Institute of Chartered Secretaries of Canada. Mr. McDonald serves on the board of investment funds in the Cayman Islands and is a Professional Director in the Cayman Islands registered pursuant to the Directors Registration and Licensing Law 2014. Prior to joining IMS he previously worked for Genesis Trust & Corporate Services Ltd (previously affiliated with KPMG) as a fund director where he specialized in the provision of trust, private wealth and corporate management services to companies, trusts, and related entities worldwide. Prior to Genesis Trust, Mr. McDonald was a Senior Manager with Fortis Prime Fund Solutions (Cayman) Limited where he led a team of fund accountants and was responsible for the calculation and review of net asset valuations. He started his career with KPMG and is a member of the Society of Trust and Estate Practitioners (STEP). Mr. McDonald is also a member of the Cayman Islands Institute of Professional Accountants and the Cayman Islands Directors Association.
Cary T. Marr - Fund Fiduciary at IMS Cayman CARY T. MARR, CA, Acc.Dir.,(Fund Fiduciary), a resident of the Cayman Islands, is a Chartered Accountant, a founding member of the Cayman Islands Directors Association, and a board member of the Cayman Islands Fund Administrators Association. Mr. Marr is a Professional Director in the Cayman Islands registered pursuant to the Directors Registration and Licensing Law 2014 and serves as a director on the boards of hedge funds, private equity funds, traditional long-only funds, and investment management companies. Prior to joining IMS, he spent 14 years involved in the management of the global operations of Meridian Fund Services, an independently-owned hedge fund and private equity fund administrator. As a President and Chief Financial Officer of the company, he played a key role in developing each of Meridian’s core service offerings, including valuation and accounting, investor relations, anti-money laundering protocols, and provision of corporate governance and directorships. He is well versed in the governance and regulatory issues facing investment managers and has been providing non-executive Directorship services for the past 10 years. Mr. Marr received his professional training with Deloitte in Canada and Bermuda.
Ebony Myles Berry - Fund Fiduciary at IMS Cayman EBONY MYLES- BERRY BBA, EMBA, Acc.Dir., (Fund Fiduciary), a resident of the Cayman Islands, has a Bachelor of Business Administration in International Business and Finance from Florida International University and a Certificate in Executive MBA studies from the University of Toronto. She also earned a Diploma in Fund Administration (Merit) from Manchester School of Business. She is a founding member of the Cayman Islands Directors Association and she holds the Accredited Director designation granted by the Institute of Chartered Secretaries of Canada. She is also a Notary Public of the Cayman Islands. Ms. Myles-Berry is a Professional Director registered in the Cayman Islands pursuant to the Directors Registration and Licensing Law 2014 and serves as a director on the boards of alternative investment funds and special purpose vehicles. Prior to joining IMS, she was a Vice President at Maples Fiduciary Services (Cayman) Limited where she served as a director for several years on a wide range of investment funds, including multi-manager funds, hedge funds, private equity funds and segregated portfolio companies. In addition to providing director services, she also specialized in providing fiduciary services to unit trusts and the administration of companies engaging in structured finance transactions, including structured note issues, CLO/CDOs and asset financing. Prior to that, she worked at Walkers SPV Limited as a Business Analyst and at the Cayman Islands Monetary Authority as a Treasury Analyst.
Karl O'Reilly - Fund Fiduciary at IMS Cayman KARL O’REILLY, ACCA, (Fund Fiduciary), a resident of the Cayman Islands, is a member of the Association of Chartered Certified Accountants (ACCA). Mr. O’Reilly is a Professional Director registered in the Cayman Islands pursuant to the Directors Registration and Licensing Law 2014 and serves as a director on the boards of alternative investment funds and special purpose vehicles. He has nearly 15 years of experience in the alternative investment funds industry. Prior to joining IMS he was Vice President of Fund Governance with Citco Trustees (Cayman) Ltd. where he was responsible for the alternative investment funds and the structured finance portfolios, and previously was Senior Team Manager with Admiral Administration Ltd. (Maitland Group) where he was responsible for the delivery of fund administration services to a diverse group of hedge funds. Mr. O’Reilly commenced his career in the Cayman Islands with KPMG auditing alternative investment funds and banks.
Tim Woolaver - Fund Fiduciary at IMS Cayman TIM WOOLAVER, B.Acc., C.P.A., C.A., Acc.Dir., (Fund Fiduciary), a resident of the Cayman Islands, is a Canadian Chartered Professional Accountant and Chartered Accountant, has a Bachelor of Accounting degree from Brock University in St Catherines, Ontario, Canada, holds the Accredited Director designation granted by the Institute of Chartered Secretaries in Canada and is registered as a Professional Director in the Cayman Islands pursuant to the Directors Registration and Licensing Law 2014. He is also a member of the Cayman Islands Society of Professional Accountants and a founding member of the Cayman Islands Directors Association. Mr. Woolaver serves as a director on the boards of alternative investment funds and special purpose vehicles. Prior to joining IMS in 2012 he was a Senior Vice President at Maples Fiduciary Services, from 2007 to 2012, where his primary role was to serve as a director of Cayman Islands investment funds covering a wide range of strategies and structures. From 2000 to 2007 Mr. Woolaver worked at Citco Fund Services (Cayman Islands) Limited where he was a Senior Account Manager. From 1998 to 2000 he worked at PricewaterhouseCoopers in the Cayman Islands where he provided audit, business and advisory services to asset management and other financial services clients. From 1991 to 1998 he worked for an accounting firm in London, Ontario, Canada.
Lorraine Perkins - Fund Accountant / Fiduciary at IMS Cayman LORRAINE PERKINS, FCCA, MBA. (Fund Accountant/ Fiduciary), is a resident of the Cayman Islands and a Fellow of the UK Association of Chartered Certified Accountants (FACCA) with over 20 years of accounting experience. She has a Masters in Business Administration from International College of the Cayman Islands, Cayman Islands. Prior to joining IMS she was a Mutual Fund Account Manager with CIBC Bank & Trust Cayman Limited, where she was responsible for fund administration services for a portfolio of funds. Miss Perkins commenced her career in the Cayman Islands with Financial Integrated Services Limited as an Accountant.
Arun Abraham - Fund Accountant at IMS Cayman ARUN ABRAHAM, B.Bus, CPA, CFA Level 1, (Fund Accountant), a resident of the Cayman Islands, and is a U.S. Certified Practicing Accountant (CPA) with audit and fund accounting experience. He has a Bachelor’s degree in Business Economics from York University, Toronto. Prior to joining IMS in 2016, he worked as a Fund Accountant with a well-known Cayman fund administration company where he was responsible for fund administration services for a portfolio of funds, Mr. Abraham previously worked with PWC in their fund audit division.
Melanie Harris - Company Administrator at IMS Cayman Melanie Harris (Company Administrator), deals with enquiries from offshore management firms and professionals requiring corporate services in the Cayman Islands. Prior to joining Corporate Filing Services Ltd, a subsidiary of International Management Services Ltd, she spent five years as office manager for a Cayman Islands Law Firm and two years as a senior trust and company administrator with a Cayman Islands Bank. Melanie, who is a Notary Public for the Cayman Islands, specializes in providing services to groups of client companies on behalf of professional management companies located in offshore financial centers around the world, particularly Asia and the Far East. Melanie was educated in Holland and England.
